Terms & Conditions

These Terms & Conditions govern the software development services provided by Ragasoft Solutions Pvt. Ltd. (“Company”, “we”, “us”, or “our”) to its clients (“Client”, “you”, or “your”). By engaging our services, you agree to be bound by the following terms.

1. Services Provided

Ragasoft Solutions Pvt. Ltd. offers a range of software development services, including but not limited to web development, mobile app development, custom software solutions, and IT consulting services. The scope of services will be defined in the Service Agreement or Proposal accepted by both parties.

2. Service Agreement

The terms for each project will be outlined in a separate Service Agreement or Proposal, which will detail:

  • Scope of work
  • Timeline and milestones
  • Pricing and payment terms
  • Any additional requirements or specifications.

In the event of a conflict between these Terms & Conditions and the Service Agreement, the Service Agreement shall prevail.

3. Project Timeline & Milestones

We will make every effort to deliver the project within the agreed timeline. However, delays caused by circumstances beyond our control (including third-party integrations, Client delays in providing feedback or resources, or force majeure) may require adjustments to the delivery schedule.

4. Client Responsibilities

The Client agrees to:

  • Provide all necessary project-related information, materials, and documentation in a timely manner.
  • Assign a single point of contact for communication and decision-making.
  • Review and approve deliverables in accordance with the project milestones.

5. Changes to Scope

Changes to the agreed-upon project scope (including new features or modifications) may require adjustments in timelines, costs, and deliverables. Such changes must be agreed upon in writing via a Change Request and may result in additional fees.

6. Payment Terms

  • All pricing will be outlined in the Service Agreement or Proposal.
  • Payments are due in accordance with the milestones set forth in the Service Agreement.
  • Payments not received within 30 days of the invoice date will incur a late fee of 2% per month.
  • In the event of a payment default, Ragasoft Solutions Pvt. Ltd. reserves the right to suspend the work or terminate the contract.

7. Intellectual Property Rights

  • All intellectual property rights in the software or services provided shall remain with Ragasoft Solutions Pvt. Ltd. until full payment has been received.
  • Upon payment in full, the Client will receive a non-exclusive, royalty-free license to use the developed software for its intended purpose.
  • Any third-party software or open-source components will be subject to their respective licenses.

8. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the project. Confidential information includes, but is not limited to, business strategies, source code, design specifications, and user data.

9. Warranties & Limitations of Liability

  • Ragasoft Solutions Pvt. Ltd. warrants that the services provided will meet the agreed specifications and be free from defects for a period of [X] months following delivery.
  • The Company shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.
  • The Company’s total liability in any matter arising out of or related to this agreement is limited to the amount paid by the Client for the specific project.

10. Termination

Either party may terminate the agreement:

  • If the other party breaches any of its obligations under the agreement and fails to remedy the breach within [X] days of receiving notice.
  • In case of bankruptcy or insolvency of the other party.

Upon termination, the Client will be responsible for paying for any work completed up to the date of termination.

11. Force Majeure

Neither party will be liable for any failure or delay in performing its obligations if caused by circumstances beyond its control, including but not limited to natural disasters, war, strikes, government regulations, or interruptions in internet or utility services.

12. Governing Law & Dispute Resolution

These Terms & Conditions are governed by the laws of India. Any disputes arising under or related to this agreement will be resolved through arbitration in [City, State], in accordance with the Arbitration and Conciliation Act, 1996.

13. Entire Agreement

These Terms & Conditions, together with the Service Agreement, constitute the entire agreement between Ragasoft Solutions Pvt. Ltd. and the Client. Any amendments must be made in writing and signed by both parties.
